5. Payment Terms

6. Intellectual Property Rights

Clients retain all rights to materials provided to us, including logos, images, content, and brand assets. Clients warrant that they have the right to use and authorize us to use these materials.
6.2 Work Product
Upon full payment, clients receive ownership rights to the final deliverables created specifically for them. We retain the right to use generic methodologies, processes, and frameworks developed by us.
6.3 Portfolio Use
We reserve the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the course of the engagement. This obligation continues after the termination of services.
8. Warranties and Disclaimers
8.1 Service Warranty
We warrant that our services will be performed professionally and competently. However, we do not guarantee specific results, rankings, or outcomes from digital marketing activities.
8.2 Third-Party Platforms
We are not responsible for changes, policies, or actions taken by third-party platforms (Google, Facebook, etc.) that may affect campaign performance.
DISCLAIMER: Digital marketing results depend on numerous factors beyond our control. While we strive for excellence, we cannot guarantee specific rankings, traffic levels, or conversion rates. All estimates and projections are based on industry experience and historical data but are not guarantees of future performance.
9. Limitation of Liability
To the maximum extent permitted by law, Digital Marketing Pro shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Damages exceeding the total fees paid for the specific service in question
10. Termination
10.1 Termination by Client
Clients may terminate services with written notice as specified in their contract. Termination fees may apply based on work completed and contractual obligations.
10.2 Termination by Digital Marketing Pro
We reserve the right to terminate services if:
- Payment terms are not met
- Client fails to fulfill their responsibilities
- Client requests activities that violate platform policies or laws
- Professional relationship becomes untenable
11. Disputes and Governing Law
These Terms are governed by the laws of India. Any disputes will first be addressed through good faith negotiation. If resolution cannot be reached, disputes will be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, India.
12. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or technical failures.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the modified Terms. Significant changes will be communicated to active clients.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with any written service agreements or proposals, constitute the entire agreement between you and Digital Marketing Pro regarding the use of our services.
